Platform Governance: Intermediary Safe Harbour vs Public-Health Regulation

By Sanjeev Sarma

Platforms, public health and the hidden cost of “neutrality”

We often treat online marketplaces as neutral plumbing – a place where buyers meet sellers – and assume that neutrality absolves platforms of downstream harms. The recent litigation around the sale of a prescription-only medicine on an Indian marketplace forces us to confront what “neutral” actually costs when public health is at stake.

The signal in the news
The Supreme Court has sought responses in a case where a state challenged a High Court order that quashed criminal proceedings against an ecommerce marketplace and its directors. At issue is whether intermediary safe‑harbour protections under the IT Act shield marketplaces when third‑party sellers allegedly violate drug laws by selling prescription medicines without licences or prescriptions. The hearings are now set for later this year.

What this means for platform architects
Regulatory risk is not an add‑on; it is an architectural constraint. For CTOs and architects building digital marketplaces, this case underscored three hard truths:

  1. Neutrality is a spectrum, not a binary. The legal notion of an intermediary depends on behaviour – how much the platform designs, promotes, or enforces a listing. From an architecture perspective, this means feature choices (search ranking, “recommended” badges, fulfillment integration, automated bundling) convert a passive listing engine into an active participant. If you want to preserve a lighter liability profile, you must be deliberate about which engagement features you enable and how they are implemented.

  2. Compliance must be platform‑native. Retrofitting regulatory controls after launch is expensive and brittle. For categories that intersect with public safety – pharmaceuticals, pesticides, alcohol, medical devices – the product catalog, seller onboarding, KYC/affiliation checks, and transactional controls must be integrated with regulatory workflows. Practically this means:

    • Strong seller provenance (licence verification, periodic revalidation).
    • Category gating and strict schema validation for regulated SKUs.
    • Mandatory document capture (e‑prescriptions) with cryptographic tamper‑evidence.
    • Automated rule engines that block non‑compliant listings before they appear.
  3. Observability and forensic readiness matter. Legal disputes hinge on evidence: what checks were performed, when, and by whom. Audit trails, immutable logs, and policy decision records are no longer optional – they are the primary defence in regulatory scrutiny. Design your systems for explainability: policy decisions must be reproducible from stored data and decision logs.

Trade-offs CTOs must weigh
Speed vs. Safety: Faster time‑to‑market for sellers increases both selection and regulatory exposure. Consider staged rollouts for sensitive categories.

Automation vs. Human Review: Automated classifiers scale, but false negatives in regulated categories can be catastrophic. A hybrid model – automation with high‑confidence human review for edge cases – reduces legal exposure.

Decentralization vs. Central Control: Pushing responsibility to sellers reduces operational burden but not legal risk. Regulators, courts and consumers will look at whether the platform’s controls were adequate; strategic decentralization must be paired with enforceable platform policies and technical guardrails.

A small but important Bharat angle
For India’s MSMEs and regional platforms (including those in the Northeast), compliance burdens can be disproportionately expensive. This case presents an opportunity for shared infrastructure: think of DPI‑style services that provide validated licences, e‑prescription verification, and certificate‑based seller identity as an interoperable utility rather than every marketplace re‑building the same stack. Such shared services would lower the cost of compliance while improving public safety.

Practical takeaways for founders and CTOs

  • Treat regulated categories like first‑class system requirements: design for gating, verification and audit from day one.
  • Maintain immutable decision logs and document retention policies mapped to probable regulatory timelines.
  • Use modular enforcement engines so policy changes (new laws or court precedents) can be deployed with minimal rework.
  • Build seller provenance services (licence verification, digital attestations) as reusable components or consume them from trusted DPI providers where available.
  • Consider the business signals tied to platform features (rankings, promotions) – they change your legal posture.

Closing thought
Technology amplifies markets – and it also amplifies the social risks those markets create. If we design marketplaces with that reality at their core, we build systems that scale commerce responsibly, not just profitably.
