The Reserve Bank of India (RBI) has unveiled its 2024-25 roster of Non-Banking Finance Companies (NBFCs) within the upper layer (UL) category, prominently featuring Tata Sons Private Ltd, Bajaj Finance Ltd, LIC Housing Finance Ltd, and Aditya Birla Finance Ltd. Tata Sons retains its presence on this list notwithstanding its application to deregister as an NBFC, a move aimed at circumventing mandatory public listing requirements triggered by their earlier classification as NBFC-UL in September 2022. This implies that, per regulatory conditions, Tata Sons would be obligated to go public by this September unless deregistration is approved. The RBI underscored that Tata Sons’ current inclusion is provisional, pending the outcome of its deregistration application, which remains under consideration.
Besides Tata Sons, other notable entities classified as NBFC-UL include Shriram Finance Ltd, Mahindra & Mahindra Financial Services Ltd, Tata Capital Ltd, PNB Housing Finance Ltd, HDB Financial Services Ltd, Sammaan Capital Ltd, Muthoot Finance Ltd, Bajaj Housing Finance Ltd, L&T Finance, Piramal Capital & Housing Finance Ltd, and Cholamandalam Investment and Finance Company Ltd. Notably, despite meeting the criteria for inclusion, Piramal Enterprises was excluded from the current list due to an ongoing business restructuring within the group.
