Growth Without Guardrails: The Economics of Scaling Ahead of an IPO

Growth Is an Architecture Problem: The Quiet Lesson Inside Burma Burma’s DRHP

We have trained an entire generation of founders to read a 46% revenue jump as victory. But the most instructive number in Burma Burma’s DRHP isn’t the ₹155 crore topline – it’s a net loss that multiplied nearly 31 times in a single year, even as the business grew. Across two decades of building systems, I’ve learned one uncomfortable truth: growth conceals more than it reveals.

What the DRHP actually says

Hunger Pangs Limited, parent of the premium dining chain Burma Burma, has filed its draft red herring prospectus for an IPO – a ₹150 crore fresh issue plus an offer for sale of up to 2.8 crore shares. FY26 revenue rose 46.6% to ₹155.5 crore, but net loss widened to ₹15.4 crore as total expenses grew faster, at 61.8%. Roughly ₹117.3 crore of the proceeds are earmarked for 27 new outlets by FY29.

Negative operating leverage is a design flaw, not a phase

When expense growth (61.8%) outruns revenue growth (46.6%), every incremental rupee of sales costs more to produce than the last. Architects have a name for this anti-pattern: scaling out before hardening the template. Look at the line items – employee costs up 53.3% to ₹50.7 crore, materials up 51%, other expenses up 54.6%. Each grew faster than the topline. My read: the “unit” – the restaurant – is being replicated before its playbook is truly codified. In software terms, it’s like onboarding new tenants onto an unproven golden image. Every node inherits the inefficiencies of the original, and the marginal cost curve bends the wrong way.

The gap between EBITDA and reality

Burma Burma is EBITDA-positive at ₹25.7 crore – but notice the compression: roughly 20% down to about 16.5%. Below the operating line sits the true cost of the scaling thesis: finance costs up 70%, plus depreciation on a capex-heavy footprint. This is technical debt wearing a balance sheet. And the Q1 FY27 “profit” of ₹1.1 crore? It rests on ₹1.98 crore of deferred tax credits – strip that out, and the quarter is still red. To be fair, the 21.3% EBITDA margin in Q1 suggests the operating engine is improving. But this is the discipline of earnings quality: normalize your metrics before celebrating inflection points that accounting artifacts, not operations, created.

An IPO is really an infrastructure raise

Divide ₹117.3 crore by 27 outlets and you get roughly ₹4.3 crore per unit. The question public markets will quietly ask is the same one every architect asks: will unit #49 cost less and break even faster than unit #22? Modern restaurant chains are, beneath the table linen, data businesses – demand forecasting, supply chain density, kitchen throughput, labour scheduling. The employee cost line is precisely where operational technology bends the curve. And the DRHP’s disclosure of a second, Japanese-inspired brand raises the classic trade-off: launching product line two before v1’s unit economics are proven doubles your execution surface area – the enterprise equivalent of starting a platform migration while the legacy system is still smouldering.

A note to the founders I mentor

At STPI, I regularly meet founders who treat a funding round as validation. The current Indian market has stopped agreeing. The IPO window now audits unit economics, not narratives. And that lesson travels – to metros, to tier-3 cities, to every early ecosystem: prove the unit, codify the playbook, then multiply it.

Five things I’d underline

  • Watch operating leverage, not topline. Expense curves outrunning revenue mean scale is amplifying a flaw.
  • Standardize before you scale. An unproven replication template taxes every new unit.
  • Audit earnings quality. One-time credits are not inflection points.
  • Treat growth capital as debt on your thesis. Finance costs and depreciation are its interest.
  • Focus before diversification. Second brands before first-brand proof compound risk, not returns.

Whether you run a restaurant chain or a distributed system, the law is identical: replication multiplies whatever you already are. If the template is sound, scale compounds. If it isn’t, scale simply invoices you faster.
