SEBI Proposes ‘Debenture Trustee Agreement’ to Replace ‘Consent Letter’ for Improved Transparency

In a move aimed at enhancing investor confidence and transparency in the securities market, the Securities and Exchange Board of India (SEBI) has floated a proposal to replace the term ‘consent letter’ with ‘debenture trustee agreement’ (DTA) in its (Issue and Listing of Non-Convertible Securities) regulations. This change is expected to streamline the appointment process of debenture trustees within offer documents.
A consultation paper released on Saturday by SEBI suggests that the DTA, which legally validates the appointment of debenture trustees, is a more critical and binding document compared to the previously used ‘consent letter’. The working group noted that while consent letters were obtained from debenture trustees prior to the initiation of their assignment, they lacked legal sanctity. The DTA, in contrast, provides a legally binding document that ensures transparency and security in the trustee appointment process.
To facilitate easy access for investors, SEBI proposed that DTAs be made available through a QR code in offer documents. This digital access will allow investors to review vital information regarding the trustee’s role and obligations, contributing to more informed investment decisions.
Public comments and suggestions on the consultation paper are invited by September 6, as SEBI aims to align this initiative with the government’s objectives outlined in the FY 2023-24 Budget, following recommendations from a working group focused on improving ease of doing business in the financial sector.
This initiative underscores SEBI’s commitment to refining regulatory frameworks and bolstering market transparency for the benefit of investors and market participants.
