Starboard Urges Bold Shakeup: Autodesk’s CEO Change and Cost Cuts on the Horizon

According to a presentation viewed by CNBC, Starboard is advocating for a reevaluation of Andrew Anagnost’s leadership as CEO, a role he has held for seven years. The investor is calling for cost cuts and a revamped executive compensation plan to potentially enhance margins by up to 1,000 basis points.
Starboard’s grievances extend to Autodesk’s communication with investors, noting the company’s consistent failure to meet investor day commitments since 2018 under Anagnost’s stewardship. The company’s underperformance in comparison to benchmark indexes and a notable gap in share return — Autodesk’s 113% over seven years versus the Dow Jones’ US Software benchmark of 362% — have further fueled Starboard’s critique.
The situation worsened earlier this year when Autodesk disclosed accounting misconduct instigated by its executives, leading to a shake-up in its finance leadership. Starboard has highlighted this misreporting as evidence of inadequate corporate governance and corrective action.
Despite significant shareholder engagement and an initial attempt to mount a proxy fight, Starboard’s efforts were temporarily halted by a Delaware judge. Nonetheless, the investor remains persistent in its push for change, juxtaposing Autodesk’s impressive gross margin of 93% with its subpar operating margin of 35%.
